Purchase Agreement – Tier One Biosystems

1) Parties & Purpose

The client (“Buyer”) desires to purchase research MATERIAL from Bro Bro Labs LLC dba Tier One Biosystems (“Tier One”). This Agreement sets the conditions and restrictions governing the sale and purchase of MATERIAL.

“MATERIAL” means any product and/or service purchased from Tier One, including but not limited to peptides, proteins, liquids, powders, chemicals, labware, hardware, and accessories.

2) Research-Only Use & FDA Notice

Research Use Only. Not for human or animal consumption or application.
Statements on this website have not been evaluated by the U.S. Food and Drug Administration.
Products are not intended to diagnose, treat, cure, or prevent any disease.
Tier One is a chemical supplier. Tier One is not a compounding pharmacy or compounding facility under Section 503A of the FD&C Act and not an outsourcing facility under Section 503B.

3) Permitted Users & Age

Buyer represents that all purchases are for laboratory, research, or analytical purposes only. Basic scientific research does not include any clinical, diagnostic, or human research.
Buyer agrees MATERIAL will not be used in foods, drugs, medical devices, or cosmetics for humans or animals, or for any clinical or commercial application.
Buyer must be 21 years of age or older and a qualified professional.

4) Buyer Responsibilities & Warranties

By purchasing, Buyer represents and warrants that, based on Buyer’s independent review and study, Buyer is fully aware of and knowledgeable about:
(i) health and safety hazards associated with the handling of MATERIAL;
(ii) industrial hygiene controls necessary to protect workers;
(iii) the need to adequately warn of hazards; and
(iv) applicable laws and regulations governing use and exposure.

Tier One may limit or refuse sales to unqualified customers. Buyer is responsible for verifying hazards, conducting any further research needed, and warning Buyer’s personnel (including freight handlers) of risks.

5) Handling & Compliance

Follow all product-specific instructions (COA/SDS) and do not misuse MATERIAL.
MATERIAL may not be on the TSCA inventory; Buyer is responsible for ensuring any applicable approvals under TSCA or other regulations.
Buyer agrees to comply with all laws and regulations (federal, state, local, and international) applicable to handling, storage, transport, and use.

6) Restricted Use, Resale & Export

Purchase conveys a limited, non-transferable right to use the purchased MATERIAL solely for Buyer’s internal research.
No right to resell, supply, repackage, relabel, or use as starting materials for other products is granted without Tier One’s prior written approval.
Buyer agrees not to export MATERIAL in violation of export-control laws.
If Buyer intends to provide MATERIAL to any third party, Buyer must obtain Tier One’s written approval in advance and provide third-party details for verification.

7) No Patent/License Warranty

Tier One does not warrant that the use or sale of MATERIAL will be free from infringement of any patent or other intellectual-property rights. Listing a MATERIAL does not grant a license or recommendation for any specific use.

8) No Safety/Efficacy Warranty; Buyer Testing

MATERIAL has not been tested by Tier One for safety or efficacy in food, drug, medical device, cosmetic, or commercial uses. Buyer warrants it will properly test and use any MATERIAL purchased, in accordance with standards of a reasonable expert in the appropriate field and in strict compliance with applicable laws.

9) Indemnification & Limitation of Liability

Indemnification. In consideration for Tier One’s sale, Buyer agrees to indemnify, defend, and hold harmless Tier One and its affiliates from all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of Buyer’s handling, use, storage, transport, or disposal of MATERIAL, whether used alone or in combination with other substances.
Limitation. In no event shall Tier One or its affiliates be liable for special, incidental, consequential, exemplary, or punitive damages, or for any amount exceeding the price paid for the MATERIAL giving rise to the claim, whether in contract, negligence, strict liability, or otherwise.

10) Orders, Acceptance & Availability

An electronic or other order confirmation is not Tier One’s acceptance. Tier One may accept or decline any order, in whole or in part, or supply less than the quantity ordered.
For multiple-product orders, Tier One will attempt to ship all items together. Items not available at the time of shipping will ship as they become available unless Buyer instructs otherwise. Shipping charges apply as quoted on the receipt to the first shipment.

11) Returns

Returns are accepted only for manufacturing defects or fulfillment errors (e.g., incorrect items).
Due to the nature of research materials and sterility concerns, opened or compromised items are not returnable. Contact support for an RMA prior to return.

12) Shipping Policy

Most in-stock orders received before 3:00 PM (local Arizona time) ship the same business day; orders are not processed on weekends/holidays.
Transit times are estimates only. Tier One is not responsible for carrier delays or events beyond its control.
Domestic shipments may use FedEx/UPS/USPS at Tier One’s discretion; P.O. Boxes generally ship via USPS. International shipments may incur customs duties/fees.

13) Payment; Credit Cards

We accept major credit cards and other payment methods shown at checkout.
Provide the exact billing address and phone number on file with your card issuer. Incorrect information may delay processing.
Charges may appear as “Bro Bro Labs LLC” or “TierOne.bio.” A card processing fee may be added where permitted by law.

14) Taxes

Applicable sales/use taxes are collected where required. For other jurisdictions, Buyer is responsible for any taxes, duties, or fees.

15) Pricing & Typographical Errors

If a product is listed at an incorrect price or with incorrect information due to typographical or supplier error, Tier One reserves the right to refuse or cancel any orders placed for that product, regardless of confirmation or charge status. If your card has been charged, Tier One will issue a refund of the incorrect amount.

16) Links to Third-Party Sites

This site may contain links to third-party websites. Tier One is not responsible for the content, operation, or policies of those sites.

17) Privacy

Tier One collects information needed to process orders (name, email, address, phone, payment details). We use this information to fulfill orders, provide updates, and personalize your experience. For details, see our Privacy Policy. Third-party sites linked from tierone.bio have their own privacy policies.

18) Intellectual Property

Unless otherwise specified, all materials on this site—including text, design, logos, graphics, icons, and images, and their selection and arrangement—are the property of Bro Bro Labs LLC dba Tier One Biosystems, © [year] All Rights Reserved. Content may only be used for shopping or placing an order. No reproduction, modification, reposting, or distribution without prior written permission. Unauthorized use may violate copyright, trademark, and other laws.

19) Customer Conduct

Buyer agrees not to publish or disseminate knowingly false or defamatory statements about Tier One or its MATERIAL. Disputes must be resolved through lawful means and in the agreed venue below.

20) Governing Law; Venue

This Agreement is governed by the laws of the State in which Tier One maintains its principal place of business (currently Arizona, USA), without regard to conflicts-of-law rules. Exclusive venue and jurisdiction lie in the state or federal courts located in the county of Tier One’s principal place of business.

21) Severability; Entire Agreement; Changes

If any provision is found illegal, invalid, or unenforceable, the remaining provisions remain in full force and effect. This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes prior or contemporaneous communications. Tier One may update these Terms at any time; continued use or purchases constitute acceptance of the updated Terms.
